1. Annual Report Requirements

The Oregon Secretary of State requires that each Limited Liability Company (LLC) file an annual report with the Secretary of State. An LLC may choose to file either Form A-1 or Form B-1. If pointing Form A-1, then the company’s name, address, principal place of business, and registered agent information must appear on the face of the document. If filing Form B-1, only the company’s name, registered agent, and principal place of business information must appear on the document’s front page. In addition, if filing Form A-1 or B-1, then the following information must appear on the back of the document:

a. Name of the LLC;

b. Address of the LLC;

c. Principal Place of Business of the LLC;

d. Registered Agent of the LLC; and

e. Names and addresses of any members who have not filed their own individual reports.

2. Reporting Period

An LLC’s annual report must be filed no later than March 31st of each year. However, if the LLC was formed after January 1st of the current calendar year, then the LLC’s first annual report must be filed before December 31st of the previous calendar year. If the LLC was formed between January 1st and December 31st of the prior calendar year, the first annual report must be submitted by June 30th.
