Forming an LLC is easy. But it takes some work. You must register your business name with the state, pay taxes, file annual returns, and form an EIN. If you want to start a business in New Hampshire, here’s how to do it.
The process begins with filing a Certificate of Formation with the Secretary of State’s office. This document contains basic information about your entity, such as the date of formation, the address where you plan to conduct business, the type of business, etc. Once filed, the secretary sends you a notice stating whether your application was approved or denied. If approved, you receive a certificate of incorporation that includes the following:
• Name of company
• Address where the business will operate
• Date of formation
• Type of business
• Registered Agent

What is an EIN Number in NH?
An EIN is like your Social Security Number for your business. It’s required if your business wants to file taxes or obtain some types of permits and licenses.
There are benefits to having an EIN for a new business entity in New Hampshire.
The IRS requires every business to have an EIN. You must register with the Internal Revenue Service (IRS) if incorporated in another state. You cannot use an EIN unless you are registered with the IRS. Your EIN is assigned to your business name.
You do not need to pay anything to receive an EIN. However, there is a fee to renew your EIN each year. This cost varies depending on whether you apply online or submit paper forms.
If your business does not have an EIN, you may consider getting one because it could help you save money. For example, you might qualify for lower interest rates on loans. Also, some lenders will allow you to borrow less money if you already have an EIN.
Your EIN is used to identify your business on federal income tax returns. As such, it is important to keep track of the information about your business. This includes keeping accurate records of your assets, liabilities, expenses, and profits.
Having an EIN gives you access to government benefits. These include unemployment, workers’ compensation, disability, health care coverage, retirement plans, and veterans’ benefits.
A business without an EIN cannot participate in certain programs offered by the Small Business Administration (SBA), including low-interest loans, grants, and counseling.

Don’t have an SSN or ITIN?
Here are some alternatives
If you don’t have a Social Security Number (SSN), you can still get a Federal Tax Identification Number (ITIN). And if you’re willing to do a little extra work, you can even use one of those numbers to file taxes online.
The IRS requires taxpayers to provide an SSN or an Individual Taxpayer Identification Number (ITIN) to obtain a taxpayer identification number. But if you don’t have either of those things, here are some options for obtaining a number.
You can apply for an ITIN without having an SSN. People who’ve lost their SSNs due to identity theft often use this option. To qualify, you must meet certain requirements, including being under age 65, filing income taxes, and living outside the United States.
Another way to get an ITIN without an SSN is to apply for an Employer Identification Number (EIN). An EIN is required for many businesses, such as sole proprietorships, partnerships, corporations, limited liability companies, trusts, estates, and government agencies.
You can also get an ITIN without a Social Security Number by applying for a “taxpayer account.” A taxpayer account is similar to an EIN, except it allows individuals to file taxes for themselves rather than for a corporation.
Finally, there’s always the old standby: you can just ask someone else to give you theirs. Just make sure you know what you’re doing.
EIN Phone Application
You can no longer apply for an Employer Identification Number (EIN) over the phone. If you are applying for an EIN online, you can now submit it directly to the IRS. However, foreign businesses must use Form 8832 to obtain one.
The Internal Revenue Service announced that it would stop accepting applications for EINs via telephone. Nonprofits can still apply by phone, but the IRS says that it will accept those calls starting April 3.
According to the IRS, foreign companies must use Form 8832, Application for Employer Identification Number, to obtain an EIN. This form determines whether an organization qualifies for tax-exempt status under Section 501(c)(3).
EIN Responsible Party
The IRS requires that every corporation file an Employer Identification Number (EIN). You’ll need one if you want to open a bank account, apply for a loan, or even start a small business. But there’s a lot of paperwork involved. To make things easier, the IRS allows businesses to designate a Responsible Party to handle those tasks. A Responsible Party is usually someone who knows how to run a business and keeps accurate books and records.
There are several different ways to designate a Responsible Person. For example, you could choose a spouse, parent, child, sibling, friend, neighbor, accountant, attorney, or secretary. Or you could use our online tool to find a suitable candidate.
If you don’t already have a Responsible Party, we recommend that you hire us to help you complete the process. We’ll care everything from setting up your business entity to filing tax returns.
How is a New Hampshire LLC taxed?
A New Hampshire LLC is taxed differently than a regular corporation because it doesn’t pay corporate income tax. Instead, the owners are taxed on their incomes. This makes sense since the LLC isn’t generating any taxable income. But what happens if the LLC wants to sell something? Well, there’s no way around paying sales tax on the sale.
An LLC will be taxed as either a “branch” or a “division” of its parent company, depending on how many members it has. For example, if an LLC owns 50% of another LLC, it will be taxed as a division of that LLC. If the ownership percentage drops below 50%, the LLC will be considered a branch of its parent company.
If you’re thinking about forming a limited liability company, consider whether or not it makes sense to form it as a subsidiary of a larger corporation. If you decide to go down this route, check out our article on How to Form an S Corp vs. C Corp.
Finally, a Scorp will pay taxes on its profits, while CCorps pay taxes based on their shareholders’ share of profits – meaning that if you’re considering forming a Scorp, you’ll have to pay taxes on your company’s profits. On the other hand, if you’re looking for a C-corp, you won’t have to worry about paying taxes on your company’s earnings since those don’t exist.
1. If you have an SSN or ITIN, use the EIN online application
Apply for an Employer Identification Number (EIN) online if you have a Social Security number (SSN) or Individual Taxpayer Identification Number (ITIN). We recommend doing this if your employer requires one. Once you complete the online form, you will receive an email confirmation within 24 hours. Please check your spam folder if you don’t receive it within 24 hours.
2. File Form W-4
If you are self-employed, file Form W-4 with your tax return. In addition to providing information about how much income tax withholding you want to claim, Form W-4 allows you to request additional amounts of withholding. For example, if you work part-time and earn $100 per week, you could request that $50 be withheld each pay period.
3. Complete IRS Form 8889
Complete IRS Form 8889 if you want to change your withholding amount. To do so, enter the total amount of wages paid during the previous calendar year into the “Wages Paid” box on Form 8889. Then, enter the number of weeks worked in the “Weeks Worked” box. Finally, select the option “Change Withholding Amount.”
4. Print out copies of Forms 1099 and W-2
You must send copies of Forms 1099 to your employees and Forms W-2 to your employers. These forms provide important information about your earnings. They tell us whether you are eligible for certain benefits and what taxes you owe.
2. If you apply online but get an error message
When you apply online for an Employer Identification Number (EIN), if you get an error or are redirected to another screen, you must send Form SSA/SSI 4 to avoid problems later on, according to the Internal Revenue Service. “If you do not submit Form SSA/SSN-4, you cannot file Form SS4,” reads the IRS’ instructions. “You must use Form SSA/SSSN-4 to complete the application.”
The form itself asks questions about your employer, including whether it is incorporated, how many employees it has, where it is located, and whether it pays wages or salaries. You’ll also need to provide information about yourself, such as your name, address, Social Security number, date of birth, and contact phone numbers.
If you don’t know what you need to fill out on Form SSA/SSO-4, we have instructions: Apply online for EID for LLC.
The IRS doesn’t accept email attachments larger than 5MB unless it’s a payment.
EIN Confirmation letter (EIN approval)
If you want to open a new bank account or file federal taxes, you’ll need to provide proof that you are authorized to do so. This includes submitting an Electronic Filing Identification Number (EIN). If you don’t already have one, you’ll need to apply for it online. You’ll receive a confirmation letter once the application process is complete.
The IRS won’t send out letters via snail mail. Instead, you’ll receive an email notification that your request has been processed. However, if you’ve submitted an electronic form SS4, the IRS does require a physical mailing address and will send you a confirmation notice in the mail.
How to cancel an EIN?
If you want to change your name, address, or tax status, you’ll need to update your federal identification document — known as an Employer Identification Number (EIN). If you haven’t filed taxes since 2012, you might think it’s too late to do anything about it. But there are ways to fix things without waiting for the IRS to approve your application. Here’s how to cancel an EIN.
The Internal Revenue Service requires every employer to file Form SS-4, Application for Employer Identification Number. This form asks for basic information like your name, mailing address, and Social Security number. Once the IRS receives your completed form, they’ll issue you an EIN.
You’re allowed to use your current EIN for up to five years. After that, you must submit a new one. However, if you’ve been working under another name for several years, you could qualify for a “cancellation.”
Canceling Your EIN
To cancel your EIN, send a letter to the IRS requesting a refund. In the letter, explain why you want to cancel your EIN and include proof of identity. For example, you could provide a copy of your passport or driver’s license.
After receiving the letter, the IRS will send you a confirmation notice stating whether or not they received your request. If they did, they’d send you a check for $50. They won’t charge you a fee if they don’t receive your request.
Once you’ve canceled your EIN, you’ll need to contact your bank or credit card companies to update your personal data. Make sure you keep copies of everything you mail out.
